To properly structure a complex real estate transaction that best achieves your goals, our attorneys draw upon our collective experience in a wide variety of complex transactions. We understand and appreciate the underlying economic issues that drive transactions and seek the most advantageous deal structures. We have extensive experience in a wide range of debt and equity transactions, including sale-leasebacks, like-kind exchanges, tax-increment financing, leasing, multi-use developments, syndications and participations.
Landlords and tenants can face challenging legal issues in leasing transactions, in lease disputes and in connection with brokerage commission matters.
We represent landlords and tenants in commercial leasing and loan transactions, including office, industrial warehouse, retail, build-to-suit properties and multi-family leases. We have represented multiple clients in drafting form leases, negotiating new leases and subleases, renewing existing leases and interpreting lease provisions that are in dispute. We have represented landlords and tenants as well as lenders in credit tenant transactions. We have also worked with parties involved in so-called synthetic leases.
We prepare and negotiate complex design and construction agreements, including "fast-track," fixed price, cost plus, design-build, build-to-suit and public and private venture contracts. We assist in establishing clients' administration procedures and help to educate clients' employees on documentation during the design and construction process. In addition, we assist in creating and maintaining corporations, joint ventures and limited liability companies for construction projects.
Almost every business owns or leases real estate to operate its business, and requires professional assistance to manage its real estate portfolios efficiently.
Rice & Gotzmer represents a broad array of companies that own or lease real estate assets to support their core business, but that are not in the traditional real estate investment industry. Our goal is not only to offer value in isolated real estate projects, but also to provide strategic planning advice and reduce real estate costs.
We have experience with the ownership, operation and finance of real estate and related facilities and are well-versed in market-leading approaches that lower the cost and maximize the value of corporate real estate assets.
Clients who are developing projects often require complex planning, structuring and documentation to realize their projects' full potential.
Rice & Gotzmer serves a broad range of developers, architects, contractors and other service providers in the real estate industry. For these clients, we plan, structure and document complicated projects and offer advice on investing in real estate assets.
If you are financing the acquisition of real estate we can help you locate a lender to finance the project or, if you have a lender, review and negotiate the financing documents your lender proposes. In days when escalating soft costs of real estate development affect the profitability of a project, Rice & Gotzmer works hard to resolve problems quickly and cost-effectively, so that the money you spend on legal assistance increases your profits and not just your costs.
With land use regulation becoming more complex and critical to the development process than ever before, clients need legal knowledge, political involvement and responsive and creative advocacy to reach their development goals. We represent development clients seeking rezoning and other governmental approvals, as well as those embroiled in zoning disputes. To clients needing legal advice on land use issues, we lend extensive knowledge and contacts with government officials.
